These Terms and Conditions ("Terms") are a legally binding agreement between you and Robotrash, Inc., doing business as Robotrash ("Robotrash," "Company," "we," "us," or "our"). These Terms govern your access to and use of the Robotrash website, mobile applications, autonomous or remotely assisted robotic waste-collection services, scheduling and pickup services, zone stations, customer support, pilot programs, and any related products, software, hardware, services, or features that link to these Terms (collectively, the "Services"). By creating an account, requesting a pickup, participating in a Robotrash pilot, using a Robotrash rover or zone station, accessing the Services, or otherwise indicating your acceptance of these Terms, you agree to be bound by them. If you do not agree to these Terms, do not use the Services.
Robotrash develops technology for localized robotic waste collection. Depending on the deployment, Robotrash may use small electric robotic rovers to collect eligible bagged waste from designated pickup locations inside controlled environments such as:
Rovers may transport eligible waste to designated aggregation or zone stations for later collection by Robotrash, a property operator, waste-hauling provider, or another authorized service provider. Robotrash technology may operate autonomously, semi-autonomously, along predetermined routes, and/or with remote human assistance. Some Robotrash products, equipment, software, or functionality may be experimental, under development, or made available as part of a pilot or beta program.
Robotrash may provide Services through an agreement with a landlord, property manager, homeowners' association, campus operator, employer, waste-management provider, municipality, or other organization ("Community Operator"). Your Community Operator may determine:
You must comply with reasonable rules established by your Community Operator relating to the Services. A commercial agreement between Robotrash and a Community Operator may contain additional terms governing the deployment. Except where expressly stated, you are not a party to that commercial agreement. If there is a conflict between these Terms and a Community Operator's rules, these Terms control regarding your use of the Robotrash Services, while the Community Operator's rules may control property access and property-specific requirements.
You must be at least 18 years old and legally capable of entering into a binding contract to create a Robotrash account. By using the Services, you represent that:
A minor may interact with a Robotrash rover only under the supervision and responsibility of an adult. Robotrash accounts are not intended for children.
Some Services require an account. You agree to provide accurate and current information and to keep your information updated. You are responsible for:
You may not sell, transfer, rent, sublicense, or provide your account to another person except that members of your household may use the Services where permitted by the applicable Community Operator. We may require identity, residency, unit, property, telephone, email, or other verification before permitting use of certain Services.
The Services may allow you to request on-demand or scheduled pickups, receive estimated arrival information, track a rover's progress, and view previous pickup activity. A pickup request is not a guarantee that a rover will arrive at a specific time. Arrival estimates are estimates only. Pickup timing may be affected by weather, robot availability, battery levels, route conditions, obstructions, communications outages, safety conditions, technical failures, waste capacity, maintenance, emergencies, and other circumstances outside our reasonable control. Robotrash may cancel, delay, reroute, suspend, or refuse a pickup when reasonably necessary for safety, operational, legal, or technical reasons.
Unless Robotrash expressly states otherwise for a particular deployment, the Services are intended solely for ordinary, securely bagged household or commercial solid waste that is lawful for normal municipal disposal. Waste must be properly contained, securely tied or sealed, reasonably clean on the exterior, within any stated size and weight limits, and suitable for the applicable waste stream. Where recycling or compost collection is offered, you must follow applicable sorting requirements. Robotrash may impose additional restrictions for particular communities.
You may not place or attempt to place prohibited materials into a rover, zone station, container, or other Robotrash equipment. Prohibited materials include, unless Robotrash specifically authorizes them in writing:
You are responsible for determining whether your waste may lawfully be disposed of through the Services.
You must package waste in a manner reasonably suitable for robotic collection. You may not knowingly present leaking bags, torn bags, overfilled bags, bags containing exposed sharp objects, or waste likely to spill during transport. Robotrash may refuse a bag or container that appears unsafe or noncompliant.
Robotrash may establish maximum bag weight, bag dimensions, number of bags per pickup, daily pickup volume, frequency of pickup, and rover capacity. Limits may vary by location. Attempting to overload a rover, defeat its weight limits, or place oversized materials into it is prohibited.
Robotrash rovers are machines and must be treated accordingly. You must not:
Do not attempt to repair or recover a disabled rover yourself. If a rover becomes stuck, damaged, overturned, or otherwise disabled, notify Robotrash using the support method provided in the application.
You are responsible for exercising reasonable care around Robotrash equipment. Do not encourage children to play with, chase, climb on, hide around, or intentionally obstruct a rover. Pets should be appropriately controlled when interacting with a rover. Robotrash robots use safety and obstacle-detection systems, but those systems do not eliminate all risk.
You are responsible for providing a reasonably safe and accessible pickup location. You should place waste only at authorized pickup locations, keep the area free from unreasonable obstructions, provide accurate access instructions, keep pets controlled, and ensure gates or access points are usable where required. Robotrash is not required to enter a location that its systems, personnel, or remote operators reasonably determine is unsafe or inaccessible.
Robotrash equipment may use software, sensors, cameras, LiDAR, positioning systems, mapping systems, wireless connectivity, automated navigation systems, and other technologies to perform the Services. A rover may navigate automatically, stop or reroute when obstacles are detected, return to a charging or service location, and be remotely assisted or controlled during unusual circumstances. You acknowledge that autonomous technology cannot anticipate every possible condition.
While operating, Robotrash equipment may collect environmental and operational information necessary for navigation, obstacle avoidance, safety, troubleshooting, fleet management, and service delivery. This may include images, video, positioning information, mapping information, machine telemetry, and other sensor data. Our collection and handling of personal information is described in the Robotrash Privacy Policy. Robotrash does not authorize users to intentionally use the Services to surveil, track, or record another person.
Robotrash is not an emergency-response service. Do not use a rover, application, support channel, or pickup request to seek emergency assistance. If there is an immediate threat to life, health, property, or public safety, contact 911 or the appropriate local emergency authority.
If you become aware of a collision, personal injury, property damage, fire, battery event, spill, hazardous-material exposure, rover damage, theft, vandalism, or another significant safety incident involving Robotrash equipment, you should promptly notify Robotrash at bf@robotrash.ai. Do not disturb equipment involved in a serious incident unless doing so is reasonably necessary to prevent further injury.
You represent that you own, possess, or are otherwise authorized to dispose of any materials you submit through the Services. Once waste has been accepted into the Robotrash collection system, it may be consolidated, transported, transferred, sorted, processed, recycled, composted, or disposed of. By submitting eligible waste for collection, you relinquish your right to possess or recover that waste, subject to applicable law and any rights or obligations of the applicable Community Operator or authorized waste-service provider.
Do not place valuables, documents, electronics, identification, jewelry, cash, keys, medication, or other items you may wish to recover into waste submitted through Robotrash. Robotrash does not guarantee recovery of accidentally discarded property. If you believe you accidentally discarded an important item, contact us immediately.
Depending on the deployment, Services may be included in property fees, paid for by a Community Operator, billed directly to you, offered through a subscription, charged per pickup, or offered without charge during a pilot. Any applicable pricing will be disclosed before you incur a charge. You authorize Robotrash and its payment processors to charge the payment method associated with your account for amounts you authorize. Taxes and governmental charges may be added where required.
If you purchase a subscription or other automatically renewing service, the applicable offer will disclose the price, billing frequency, subscription length, cancellation process, and trial period. By enrolling, you authorize recurring charges until you cancel. If you subscribed online, you may cancel your subscription online at any time through Account → Subscription → Cancel Subscription, without needing to call, email, or speak with a representative. Cancellation will take effect as described at the time of cancellation. We will provide renewal, trial-expiration, price-change, and other notices required by applicable law. Cancellation stops future renewals but generally does not retroactively refund amounts already charged unless required by law.
Payments may be processed by third-party payment providers. Your use of those payment services may be subject to additional terms imposed by the applicable provider. Robotrash generally does not receive or store your complete payment-card number or card security code when payment information is handled directly by our payment processor.
Robotrash may offer promotional credits, trials, discounts, referral rewards, or similar programs. Additional rules may apply. Unless required otherwise by law, promotional credits have no cash value, credits may not be sold, fraud or abuse may result in cancellation, and Robotrash may terminate or modify promotional programs prospectively.
By creating an account, you agree to receive transactional communications reasonably related to the Services, such as account verification, pickup confirmations, rover arrival alerts, service-delay notices, safety notifications, payment receipts, and security alerts. You may separately choose whether to receive marketing communications. Consent to receive marketing messages is not a condition of purchasing Services unless expressly permitted by law. You may unsubscribe from marketing emails using the unsubscribe mechanism provided in the message.
Text Message Program. By accepting these Terms within the Robotrash app, you consent to receive text messages from Robotrash, Inc. related to your account and the Services, including pickup confirmations, rover status updates, service delays, and safety alerts. Message frequency varies based on your use of the Services. Message and data rates may apply.
Opt-Out. You may stop receiving text messages at any time by replying STOP to a Robotrash text message or by adjusting your notification preferences within the Robotrash app. We will honor other reasonable requests to revoke consent as required by applicable law. You may receive one final message confirming your opt-out.
Help. For help with text message communications, email us at bf@robotrash.ai.
No Third-Party Sharing. Mobile opt-in data and consent will not be shared with any third party for marketing or promotional purposes. Carriers are not liable for delayed or undelivered messages.
You may use the Services only for lawful purposes. You may not commit fraud, impersonate another person, use another person's payment method without authorization, intentionally send a rover to false locations, use the Services to harass another person, misuse emergency or support systems, interfere with network or fleet operations, introduce malware, probe or scan Robotrash systems without authorization, bypass security mechanisms, reverse engineer Robotrash software except where applicable law expressly permits, manipulate location data, attempt to gain unauthorized access to a rover, or use Robotrash equipment for transportation of persons or animals.
We may suspend or terminate your access if we reasonably believe you violated these Terms, submitted prohibited materials, your conduct created a safety risk, fraudulent activity occurred, payment is overdue, your Community Operator revoked eligibility, continued service would violate law, or you interfered with Robotrash equipment. Where appropriate, we may provide notice and an opportunity to resolve the issue. You may stop using the Services at any time and may request account deletion subject to our Privacy Policy and applicable retention obligations.
Robotrash may make certain Services available on a pilot, preview, trial, prototype, experimental, or beta basis. Such Services may change frequently, contain defects, experience interruptions, operate with limited capacity, require remote intervention, or be discontinued. Unless separately agreed in writing, participation in a pilot does not guarantee future availability, pricing, features, or deployment.
Robotrash does not guarantee uninterrupted or continuous operation. We may temporarily or permanently modify, suspend, restrict, or discontinue any part of the Services. Where practical, we will attempt to provide reasonable notice of material changes affecting active customers.
The Services and related technology, including software, hardware designs, robotics technology, user interfaces, text, graphics, logos, trademarks, databases, and documentation, are owned by or licensed to Robotrash and are protected by intellectual-property laws. Subject to these Terms, Robotrash grants you a limited, personal, nonexclusive, nontransferable, revocable license to use the consumer-facing Services for their intended purpose. No other rights are granted.
If you voluntarily provide ideas, suggestions, comments, designs, feature requests, or other feedback regarding the Services, you grant Robotrash a worldwide, perpetual, irrevocable, royalty-free right to use that feedback for any lawful purpose without compensation or obligation to you. This does not transfer ownership of unrelated confidential information you provide to us.
The Services may rely on or link to third-party services such as payment processors, mapping providers, telecommunications providers, cloud providers, app stores, and waste-service operators. Robotrash is not responsible for third-party services outside its control. Your use of third-party services may be governed by separate terms and privacy policies.
Our collection, use, and disclosure of personal information are described in the Robotrash Privacy Policy, which is incorporated into these Terms by reference.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." ROBOTRASH DISCLAIMS WARRANTIES NOT EXPRESSLY PROVIDED IN THESE TERMS, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, TO THE EXTENT SUCH WARRANTIES MAY LAWFULLY BE DISCLAIMED.
ROBOTRASH DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED; A ROVER WILL ALWAYS ARRIVE AT AN ESTIMATED TIME; ALL PICKUP REQUESTS WILL BE COMPLETED; AUTONOMOUS SYSTEMS WILL OPERATE WITHOUT ERROR; OR THE SERVICES WILL BE FREE FROM ALL DEFECTS.
SOME JURISDICTIONS DO NOT PERMIT CERTAIN WARRANTY DISCLAIMERS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ROBOTRASH AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, OR LOSS OF BUSINESS OPPORTUNITY ARISING FROM THE SERVICES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ROBOTRASH'S AGGREGATE LIABILITY ARISING FROM OR RELATED TO THE CONSUMER SERVICES WILL NOT EXCEED THE GREATER OF: (1) THE AMOUNT YOU PERSONALLY PAID ROBOTRASH FOR THE SERVICES DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR (2) $100.
THESE LIMITATIONS DO NOT APPLY TO LIABILITY THAT CANNOT LAWFULLY BE LIMITED OR EXCLUDED, INCLUDING WHERE APPLICABLE LIABILITY FOR FRAUD, WILLFUL MISCONDUCT, GROSS NEGLIGENCE, OR CERTAIN PERSONAL-INJURY CLAIMS. NOTHING IN THESE TERMS LIMITS NON-WAIVABLE RIGHTS AVAILABLE TO YOU UNDER APPLICABLE CONSUMER-PROTECTION LAW.
To the extent permitted by law, you agree to indemnify and hold harmless Robotrash and its affiliates, officers, employees, and agents from third-party claims, damages, penalties, liabilities, or reasonable costs arising from your intentional misconduct, unlawful use of the Services, submission of prohibited or hazardous materials, unauthorized tampering with Robotrash equipment, infringement of another person's rights, or material violation of these Terms. This obligation does not require you to indemnify Robotrash for Robotrash's own negligence, misconduct, or other liability that applicable law prohibits Robotrash from shifting to you.
Before filing a legal claim, you and Robotrash agree to attempt to resolve the dispute informally. The party initiating the dispute must send written notice describing the person's name and contact information, the nature of the dispute, the relevant account or transaction, the relief requested, and sufficient information for the other party to evaluate the dispute.
Notices to Robotrash must be sent to bf@robotrash.ai and, if requested, to Robotrash, Inc., bf@robotrash.ai. The parties will attempt in good faith to resolve the dispute for at least 30 days after receipt of the notice.
Except for disputes expressly excluded below, any dispute, claim, or controversy arising out of or relating to these Terms or the Services that cannot be resolved informally will be resolved through binding individual arbitration to the extent permitted by law. Arbitration will be administered by the American Arbitration Association ("AAA") under its applicable Consumer Arbitration Rules unless the parties agree otherwise. The arbitrator may award the same individualized remedies that a court could award. The arbitration will be conducted on an individual basis.
Either party may bring an eligible individual claim in small claims court; seek temporary or preliminary injunctive relief from a court where necessary to prevent unauthorized access, misuse, or intellectual-property infringement; or pursue a claim that applicable law prohibits from being subject to arbitration.
TO THE EXTENT PERMITTED BY LAW, YOU AND ROBOTRASH WAIVE THE RIGHT TO A TRIAL BY JURY FOR CLAIMS SUBJECT TO ARBITRATION. TO THE EXTENT PERMITTED BY LAW, CLAIMS SUBJECT TO ARBITRATION MUST BE BROUGHT ON AN INDIVIDUAL BASIS AND NOT AS A PLAINTIFF OR CLASS MEMBER IN A CLASS, CONSOLIDATED, COLLECTIVE, OR REPRESENTATIVE ACTION. If applicable law makes a particular portion of this waiver unenforceable, that portion will be applied only to the maximum extent permitted.
You may opt out of the arbitration provisions in Sections 35 and 36 by sending written notice to bf@robotrash.ai within 30 days after you first accept these Terms. Your notice must include your full name, the email or telephone number associated with your account, a statement that you are opting out of the arbitration agreement, and the date. Opting out of arbitration will not affect your ability to use the Services.
These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles, except where federal law applies or applicable consumer law requires otherwise. For disputes not subject to arbitration, you and Robotrash consent to the exclusive jurisdiction of the state courts located in Contra Costa County, California, and the United States District Court for the Northern District of California, except where applicable law gives you the right to bring a claim elsewhere.
We may update these Terms from time to time. If we make material changes, we will provide reasonable notice through the application, our website, email, or another appropriate method. Where legally required, we will obtain your consent before materially changed terms become binding. The "Last Updated" date will identify the most recent revision.
You may not assign your rights under these Terms without our consent. Robotrash may assign these Terms in connection with a merger, acquisition, financing, reorganization, sale of assets, or transfer of the applicable business, subject to applicable law.
If a provision of these Terms is held unenforceable, it will be enforced to the maximum extent permitted, and the remainder of the Terms will remain in effect unless applicable law requires otherwise.
Failure to enforce a provision of these Terms does not waive our right to enforce it later.
These Terms, the Privacy Policy, and any other terms expressly incorporated by reference constitute the entire agreement between you and Robotrash concerning your consumer use of the Services. A separate written agreement with Robotrash may apply to Community Operators, commercial customers, pilots, developers, vendors, or other business relationships.
